Cedar Creek II Completes The Sale Of Nordco Inc.

July 21, 2003 – Cedar Creek II Limited Partnership announced today the sale of its portfolio company, Nordco Inc., to The Riverside Company and Nordco management.  Terms of the transaction were not disclosed by the parties.

The Nordco transaction represents a significant success for Nordco’s majority owner, Cedar Creek Partners II, LLP, Riverside, and Nordco management.  Michael F. McFadden, of investment banker Goldsmith Agio Helms, commented, "The acquisition Nordco provides Riverside with an extremely attractive platform in the $5 billion railroad maintenance-of-way market.”  James M. Frommelt, vice president of Goldsmith Agio Helms, added, "Nordco features a very talented management team with a proven history of profitable growth.  We firmly believe Nordco’s partnership with Riverside will be as successful as the Company’s partnership with Cedar Creek."

Nordco Inc., headquartered in Milwaukee, Wisconsin, is the oldest manufacturer of railroad maintenance-of-way equipment in North America.  Nordco designs, manufactures, and markets equipment used for the construction, maintenance, and repair of railroad tracks.

CCP LIMITED PARTNERSHIP SELLS SPARAK!

Sept. 23, 2002 -- Harland Financial Solutions, Inc., a wholly owned subsidiary of John H. Harland Company

(NYSE: JH - News), announced today that it has extended its core systems offering with the acquisition of SPARAK Financial Systems, LLC.

Harland Financial Solutions acquired SPARAK for approximately $32 million in cash. Depending on future operating performance, up to an additional $2 million in deferred purchase price may be paid. SPARAK's revenues in 2001 were approximately $17 million. The acquisition is expected to be marginally accretive to earnings in 2003.

SPARAK is now part of Harland Financial Solutions' Core Systems Group, which also includes the ULTRADATA® and CuServ(TM) core systems for credit unions, as well as the BankServ(TM) core system for community banks.

"We acquired SPARAK for two reasons," said John O'Malley, president of Harland Financial Solutions. "First, it builds on our core systems leadership position for financial institutions. Second, by integrating SPARAK's system with our other products and services, we will be able to add tremendous value for its existing customers as well as for other community banks nationwide."

"By becoming part of Harland Financial Solutions, we will be able to leverage Harland's strong position in the marketplace," said Steve Anderson, president and chief executive officer of SPARAK. "Our combined product offering makes for a complete solution for the community bank market that we will build on moving forward."
